Help! need to decide

Ok, my o/d light started blinking , I did noticed a slight slippage, changed the oil at the ford dealer about a year and 15,000m ago, the oil does not smell burnt but it is
brownish , just found out that when they changed the oil they put mercon V but they did not flush the T/C , (1995 4.6 lx) also after I got it back from this oil change I checked the level and it was about 3/4" above the max but they told me it was ok,
finally, if I shift all the way to 1 (from park) it just won´t move ,as if it is still in park
my question is :would a complete fluid change help, the guy at the ford dealer says it will only make it worst, he is estimating 700.00 for an overhaul, can this transmission be fixed ?
I did search throgh several threads but got mixed signals

if the od is blinking its time for a teardown! thats an internal trans problem.

Well , I had it scanned at the Ford,the scanner reads: error shift 1 to 2
the transmission guy told me first is gone and since when it is in drive it does not move, is a sign that the bands are slipping so he estimates a $650.00 tag for the whole work, he also told me that the problem is minor at this point that fixing it is
easy, (of course, unless something serious shows up while taking it apart)
Does this sound reasonable? Ifelt the guy knows well the 4r70w,( I was armed with a whole bunch of copies of several threads and tsb´s )
