Angry xmission drops OD and 3rd at speed

A newbie is looking for guidance on xmission problem in 94 Tbird LX with 103,300 miles.
Problem: Began in Oct. 2009 with 96,400 miles. At speed (anywhere between 50 mph and 75 mph) either with cruise on or off, xmission will suddenly drop OD & 3rd. Using throttle to vary engine rpm has no effect on picking up xmission drive. No check engine light appears. After coasting down to about 45 mph (or coming to a stop) and then re-accelerating to speed xmission performs as normal. This repeats 2, 3, or 4 times in a stretch of 5 or 6 miles. No advance warnings, it just does what it wants.

Action taken: I was on vacation so drove to a local Ford dealer who did an inspection, changed filter, and fluid and sent me on my way. They said everything in xmission was very clean and appeared to be in good shape. I got about 50 miles before re-occurance so I returned. They weren't real happy to see me. This time they replaced the T/R sensor with F5AZ-7A247-AA and sent me on my way.
All was well until this weekend and it was deja-vu all over again. After about three dis-engagements in several miles I drove home 275 miles with no re-occurance.

Local Ford dealer says one of the clutch packs is beginning to fail and a complete rebuild is in order?

Any and all comment would be appreciated.

well damn I was going to say MLPS since I have seen it more than a few times on a few different cars but they have that covered already

How about the output speed sensor (or VSS as some people call it)?
